A G R E E M E N T

(hereinafter referred to as the distributor)

and

(hereinafter referred to as the receiving institution)

Whereas UNESCO has developed and owns the intellectual property of a set of computer programs for the storage, management and analysis of numerical data running on large and micro computers (hereinafter referred to as IDAMS),

Whereas the receiving institution desires to use IDAMS for the computerized management and analysis of its numerical data,

Whereas the receiving institution assumes responsibility for the selection of IDAMS to achieve its intended results, and for the installation, use and results, obtained from IDAMS,

Whereas UNESCO has granted the distributor the right to transfer IDAMS to third parties on its behalf,

Accordingly, the distributor shall supply the receiving institution with IDAMS load modules as well as the relevant IDAMS documentation, available at UNESCO at the time of transfer, and grant the receiving institution the following

The receiving institution may:

(a) Use IDAMS on one or more machines owned by the receiving Institution;
(b) Make copies of IDAMS load modules, provided that such copies are only used for backup purposes or restored only onto machines owned by the receiving institution, being understood that each such copy should reproduce and include the copyright notice;
(c) Reproduce the IDAMS documentation or portions thereof for the use of the receiving institution personnel, provided that each such copy reproduces the copyright notice;
(d) Translate the IDAMS documentation or portions thereof for the use the receiving institution personnel, provided that such translations clearly indicate the original source and the name of the translating organization, and that UNESCO is informed of any translation and receives a copy of it.

The receiving institution may not:

(a) Use, or permit others to use IDAMS for commercial or profit-making purposes;
(b) Make copies or translations of IDAMS and the related documentation obtained from UNESCO except as provided above;
(c) Make alterations in or disassemble any of the IDAMS programs or portions thereof, and, in particular, erase, replace or modify any copyright notice displayed by the programs during their execution;
(d) Sublicense, assign or transfer the licence, sell, lease or grant any right on IDAMS to other parties;
(e) Transmit IDAMS or portions thereof over telecomunication channels.

TERMINATION

This Agreement, which is drawn up in English, in two original copies, shall enter into force upon signature by both parties, each party retaining one signed copy.

It shall be effective until terminated by either party upon written notice to that effect given to the other party.

It shall also terminate if the receiving institution fails to comply with any terms of conditions set forth in this Agreement.

The receiving institution agrees upon such termination to destroy IDAMS together with all copies it has made and that it shall no longer receive any new copy of IDAMS which UNESCO might develop or produce thenceforth.

WARRANTY AND LIABILITY

UNESCO provides IDAMS "as is" without warranty of any kind, either expressed or implied, including, but not limited to the suitability of IDAMS for a particular purpose. The entire risk as to the quality and performance of IDAMS is with the receiving institution.

In no event will UNESCO or the distributor be liable to the receiving institution for any damages, including lost savings or other incidental or consequential damages arising out of the use inability to use IDAMS.

Any dispute between the parties to this Agreement concerning the interpretation or application thereof, which is not settled by negotiation, shall be settled by arbitration

C O N V E N I O

(en adelante denominado el distribuidor)

y

(en adelante denominada la institución receptora)

Considerando que la UNESCO ha desarrollado y posee el derecho de autor de una serie de programas de computación para el almacenamiento, manejo y análisis de datos numéricos para procesarlos en computadoras grandes y microcomputadoras IBM y en computadoras compatibles (en adelante donominada IDAMS),

Considerando que la institución receptora desea usar IDAMS para el manejo y análisis computarizados de sus datos numéricos.

Considerando que la institución receptora asume la responsabilidad de la selección de IDAMS para alcanzar sus objetivos, y de la instalación, uso y resultados obtenidos de IDAMS,

Considerando que la UNESCO ha concedido al distribuidor el derecho a transferir IDAMS a terceros en su nombre,

En consecuencia, el distribuidor suministrara a la institución receptora los modulos de carga IDAMS, asi como la documentación IDAMS pertinente, disponible en la UNESCO en el momento de la transferencia, y otorgara a la institución receptora la siguiente:

LICENCIA

La institución receptora está autorizada a:

(a)Emplear IDAMS en una o más computadoras propiedad de la institución receptora;

(b)Hacer copias de los modulos de carga IDAMS, siempre y cuando dichas copias sean destinadas exclusivamente para fines de respaldo o para ser reinstaladas en máquinas propiedad de la institución receptora, entendiendose que cada copia debe reproducir e incluir la notificación sobre los derechos de autor;

(c)Reproducir la documentación IDAMS o porciones de esta para el uso del personal de institución receptora, siempre y cuando cada copia citada reproduzca la notificación sobre los derechos de autor;

(d)Traducir la documentación IDAMS o parciones de esta para el uso del personal de la institución receptora, siempre y cuando dichas traducciones indiquen claramente cual es la fuente original y el nombre de quien realiza la traducción, y que la UNESCO sea informada acerca de cualquier traducción efectuada y que reciba una copia de ésta.

La institución receptora no está autorizada a:

(a)Usar o permitir que otros usen IDAMS con fines comerciales o de lucro;

(b)Realizar copias o traducciones de IDAMS y de la documentación relacionada obtenida de la UNESCO, exceptuando de la forma citada anteriormente;

(c)Alterar o desensamblar cualquiera de los programas IDAMS o porciones de estos, y en particular, borrar, reemplazar o modificar cualquier notificación sobre los derechos de autor mostrada en los programas durante su ejecución;

(d)Conceder sublicencias, o asignar o transferir la licencia, o vender, alquilar o conceder cualquier derecho sobre IDAMS a terceros;

(e)Transmitir IDAMS o porciones de estos a través de canales de telecomunicaciones.

TERMINACION

Este Convenio, redactado en idioma español en dos ejemplares originales, entrará en vigencia al ser firmado por ambas partes, cada una de estas guardara una copia firmada de dicho Convenio.

Se mantendra en vigencia hasta que sea rescindido por una de las dos partes, mediante una notificación por escrito para tales efectos, y entregada a la otra parte.

También el convenio podrá ser terminado si la institución receptora no cumple con cualquiera de los términos y de las condiciones expuestos en el presente Convenio.

La institución receptora acuerda que al término del Convenio destruirá el IDAMS, asi como todas las copias efectuadas de éste, y que no continuará recibiendo nuevas copias de IDAMS que la UNESCO podría desarrollar o producir en lo sucesivo.

GARANTIA Y RESPONSABILIDAD

La UNESCO suministra el IDAMS "tal y como esta", sin garantía de ningun tipo, ya sea expresada o implicita, incluyendo pero no limitado a la adaptación del IDAMS para un proposito específico. La institución receptora asume el riesgo total en cuanto a la calidad y rendimiento del IDAMS.

Bajo ninguna circunstancia la UNESCO o el distribuidor serán responsables ante la institución receptora por cualquier daño, incluyendo ahorros perdidos o cualquier otro daño incidental o consecuencial derivados del uso o de la incapacidad de utilizar IDAMS.

Cualquier disputa entre las partes que suscriben el presente Convenio relacionada con la interpretación o aplicación del mismo que no sean resueltas mediante la negociación, lo serán mediante un arbitraje.
